CRYPTO PAYMENT TERMS & CONDITIONS

1. Contractual Acknowledgment & Binding Nature

By selecting “Pay with Cryptocurrency” at checkout, you (“Customer”) voluntarily enter a binding commercial contract with Invisible Empire Publishing LLC, a Wyoming limited liability company (“IEP,” “we,” “us,” “our”), under Wyoming Statutes Title 40 – Trade and Commerce and the Wyoming Uniform Commercial Code (UCC).

By completing a crypto transaction, you expressly accept all terms below and waive any claim to consumer chargeback remedies.

At checkout, you will be required to affirmatively confirm:

“I understand that all cryptocurrency payments are final, irreversible, and governed by Wyoming commercial contract law. I accept full responsibility for any loss, error, or forfeiture.”


2. Commercial Nature of Transaction Under Wyoming Law

Cryptocurrency transactions are treated as commercial transfers, not consumer banking activity. By choosing crypto, you agree this transaction is governed by Wyoming UCC §2-201, establishing a legally enforceable merchant-customer contract, with no fiduciary, escrow, trust, banking, or custodial responsibility imposed on IEP.


3. ALL SALES FINAL — NO REFUNDS

  • Crypto payments are FINAL and NON-REVERSIBLE.
  • NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCE, including but not limited to:
    • Market volatility or price drops.
    • Mistaken payments, wrong address, wrong network, or wallet error.
    • Regret, dissatisfaction, buyer’s remorse, or claim of “accidental” payment.
    • Failure to properly understand cryptocurrency functionality.
  • Any refund voluntarily granted at our sole discretion will be treated as a separate courtesy agreement, not a right, and may be issued ONLY in store credit or adjusted-value crypto minus all applicable fees.

4. Risk Allocation — 100% on Customer

By paying in cryptocurrency, you agree that ALL technical and financial risk belongs solely to you, including but not limited to:

  • Sending funds to the wrong address, wrong token, or wrong blockchain.
  • Failing to include correct transaction memo/tag if required.
  • Paying after invoice expiration window.
  • Underpayment, overpayment, slippage, gas miscalculation.
  • Blockchain congestion, delays, node outages, or frozen transactions.
  • Payment processor (e.g., NOWPayments or CoinBase) delays or failure.
  • Failure to monitor confirmation status.

If a transaction fails, disappears, or is delayed on chain, you accept full liability. IEP has ZERO responsibility to retrieve, reverse, or compensate.


5. Underpayment, Overpayment & Administrative Recovery Fees

  • Underpayments may result in order cancellation or require an additional payment. If no top-up is made within the time specified, funds are considered forfeit.
  • Overpayments will not be refunded.
  • If technical recovery is attempted, you agree to pay an administrative handling fee equal to or exceeding the cost of recovery operations, plus network gas.

6. Compliance Review, KYC Triggers & FORFEITURE UNDER WYOMING ABANDONMENT DOCTRINE

  • If an order is flagged for fraud, sanctions review, or irregular payment routing, you may be required to verify identity to release funds.
  • If you refuse to comply with verification or fail to respond within the time window given, funds shall be treated as ABANDONED PROPERTY under Wyoming commercial contract doctrine and PERMANENTLY RETAINED by Invisible Empire Publishing LLC.
  • Wyoming UCC principles allow retention of abandoned commercial funds for administrative and legal cost coverage. By agreeing to these terms, you voluntarily waive any right to challenge such retention or demand restitution.

7. No Fiduciary Duty / No Custodial Obligation

Invisible Empire Publishing LLC:

  • Does not act as a wallet custodian, financial intermediary, escrow agent, or fiduciary of any kind.
  • Holds no obligation to secure, retrieve, or insure any cryptocurrency once transmitted.
  • Any temporary holding of funds due to processing or review is not a deposit or trust account under any banking statute.

8. Sanctions, OFAC, and Legal Restrictions

We do not transact with parties in embargoed or sanctioned regions or listed by OFAC. If a transaction is later associated with a restricted party:

  • Order is void.
  • Funds are frozen or surrendered to compliance authorities as required.
  • No refund or compensation will be provided.

9. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, punitive, or speculative damages, including loss of crypto value, network error, or missed financial opportunity.
  • Maximum liability for any dispute may not exceed the USD value of the item purchased at the time of checkout, minus all processing costs already incurred.

10. Arbitration & Jurisdiction

  • All disputes shall be resolved exclusively via binding arbitration in Cheyenne, Wyoming, under AAA Commercial Arbitration Rules.
  • Class actions, collective claims, or multi-party arbitration are forbidden. Each dispute must be filed individually.
  • You waive the right to trial by jury and to litigate outside of arbitration.

11. Customer Acceptance Statement (Displayed at Checkout)

By completing this crypto transaction, I affirm that I have read and agree to the Crypto Payment Terms & Conditions under Wyoming law. I understand that this purchase is final, irreversible, and that I bear all risk including forfeiture if I fail compliance verification.
